• Project timelines are estimates and may vary based on complexity
• Delays caused by client feedback or content provision may extend timelines
• We will communicate any potential delays promptly

5. Payment Terms

5.1 Pricing and Invoicing

• All prices are quoted in USD unless otherwise specified
• Payment schedules will be defined in individual project agreements
• Invoices are due within 30 days of issuance

5.2 Late Payments

• Late payments may incur additional fees
• Work may be suspended for accounts past due
• We reserve the right to remove websites for non-payment

6. Intellectual Property Rights

6.1 Client Content

You retain ownership of all content you provide, including text, images, and other materials. You grant us a license to use this content for the purpose of completing your project.

6.2 Developed Work

Upon full payment, you will own the final website design and custom code developed specifically for your project. However, we retain rights to:

• General methodologies and techniques
• Pre-existing code libraries and frameworks
• Use the work in our portfolio (with your permission)

7. Warranties and Disclaimers

7.1 Website Performance

• We strive for optimal performance but cannot guarantee 100% uptime
• Third-party service interruptions are beyond our control
• We will address technical issues promptly when reported

8. Limitation of Liability

To the maximum extent permitted by law, Global Enterprise Nexus LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

9. Privacy and Confidentiality

• We respect your privacy and protect confidential information
• Our Privacy Policy governs the collection and use of your personal data
• We will not share your business information with third parties without consent

10. Termination

10.1 Termination by Client

• You may terminate services with written notice
• Payment is due for all work completed up to termination date
• Completed work will be delivered upon full payment

10.2 Termination by Company

• We may terminate for non-payment or breach of terms
• We may terminate if project requirements violate laws or our policies
• Refunds will be provided for unused prepaid services

11. Support and Maintenance

• Basic support is included for 30 days after project completion
• Extended support and maintenance plans are available separately
• Emergency support is available during business hours
• Third-party plugin/service issues may incur additional charges

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law provisions.

13. Dispute Resolution

• We encourage resolving disputes through direct communication
• If necessary, disputes will be resolved through binding arbitration in Wyoming
• Each party will bear their own costs unless otherwise awarded

14. Force Majeure

We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, epidemics, or government actions.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Continued use of our services constitutes acceptance of revised Terms.
